1. Acceptance of Terms

By accessing and using the JLCS Essentials website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our website or services.

2. Description of Services

JLCS Essentials provides technology consulting, web development, AI chatbot development, business process automation, marketing tools, mobile app development, and digital identity solutions. Specific deliverables, timelines, and pricing are defined in individual project agreements.

3. Project Agreements

All projects are governed by a separate project agreement or statement of work (SOW) that outlines:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Revision policies
• Intellectual property ownership

These project agreements supplement and take priority over these general Terms of Service where applicable.

4. Intellectual Property

Client Ownership: Upon full payment, clients receive full ownership of all custom code, designs, and deliverables created specifically for their project, unless otherwise stated in the project agreement.

JLCS Essentials Ownership: We retain ownership of our pre-existing tools, frameworks, templates, and methodologies. We may use general techniques and knowledge gained during projects for future work.

Portfolio Rights: Unless otherwise agreed, JLCS Essentials reserves the right to showcase completed projects in our portfolio and marketing materials.

5. Payment Terms

• Payment schedules are defined in individual project agreements
• A deposit is typically required before work begins
• Outstanding invoices are due within 30 days unless otherwise agreed
• Late payments may incur a fee of 1.5% per month on the outstanding balance

6. Client Responsibilities

Clients agree to:

• Provide timely feedback, content, and approvals as requested
• Ensure all materials provided (logos, images, text) are owned by or licensed to them
• Designate a single point of contact for project communications
• Review and test deliverables within the agreed timeline

7. Revisions and Changes

Each project includes a defined number of revision rounds as specified in the project agreement. Additional revisions beyond the agreed scope may incur additional charges at our standard hourly rate.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• We do not guarantee specific results (e.g., search engine rankings, conversion rates)
• Third-party services (hosting, APIs, etc.) are subject to their own terms and availability
• Our website and services are provided "as is" without warranties of merchantability or fitness for a particular purpose

9. Limitation of Liability

JLCS Essentials shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the total amount paid by the client for the specific project in question.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of the business relationship.

11. Termination

Either party may terminate a project agreement with 30 days written notice. Upon termination:

• The client is responsible for payment of all work completed up to the date of termination
• All completed deliverables will be transferred to the client
• Any pre-paid but unearned fees will be refunded on a pro-rata basis

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through good-faith negotiation, followed by mediation if necessary.

13. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after any changes constitutes acceptance of the updated terms.
